Registered properly, once

Closing properly is not just walking away

A business that stops trading but is never formally closed keeps accruing obligations. Returns still fall due. Penalties compound. Years later the assessment arrives — and for a corporation, the officers can be pursued personally.

Most firms do not offer this work. We do, and we see the consequences of it being skipped.

What a complete closure involves

LGU retirement — barangay and mayor’s permit formally retired, final assessments settled.

BIR closure — short-period returns filed, books and unused invoices surrendered, tax clearance secured.

SEC dissolution — board and stockholder approvals, filings, and the certificate of dissolution.

Employer deregistration — SSS, PhilHealth and Pag-IBIG accounts closed and final remittances cleared.
